What is an Italian innovative startup and how do you qualify?

Italian legal status under art. 25 of D.L. 179/2012, obtained by registering in the special section of the business register.

The startup innovativa is an Italian legal status: the qualification a limited company obtains by registering in the special section of the business register once it meets the requirements of article 25 of decree-law 179/2012. Being young and writing software is not enough. The company has to fall within the European definition of micro, small or medium enterprise, have been set up no more than sixty months earlier, be resident in Italy or in an EU state with an Italian production site, not be listed, never have distributed profits, not be the result of a merger or a demerger, stay below five million euro of annual production value, and have innovative high technology products or services as its main object. On top of those requirements, which all apply together, comes one more, chosen from three alternatives.

How you get in and how long it lasts

The three alternatives are research and development spending of at least 15 percent of the higher of total production cost and value; a workforce made up at least one third of PhDs, PhD candidates or researchers with three years of certified activity, or at least two thirds of people holding a master's degree; ownership or a license of at least one patent or other industrial property right, or ownership of a registered piece of software related to the business. One is enough, and the one to pick is the one you can document for years, not the one that looks convenient in year one.

Registration is requested from the chamber of commerce through a self-declaration by the legal representative, and then it has to be kept alive: within thirty days of the approval of the annual accounts, and in any case within six months of the end of the financial year, a declaration that the requirements still hold must be filed with the business register (paragraph 15). If it is missing, the law treats the requirements as lost, and within sixty days the company is removed from the special section with no further steps (paragraph 16). On the calendar, the first three years are unconditional; reaching five takes at least one further condition, among research and development raised to 25 percent, an experimentation contract with a public administration, revenue or headcount growing by more than 50 percent from the second to the third year, a capital reserve above 50,000 euro from a qualified investor together with research and development at 20 percent, or a patent granted. From there the status extends two years at a time, up to four additional years, for the move into the scale-up phase.

A concrete example

A six-person company that is past the prototype stage and sells a data analytics product cannot hit 15 percent on research and development, because almost all of its cost is ordinary development work, and it has no PhDs on the team. Instead it registers its software with the Italian public software register run by SIAE and uses that ownership as its third requirement. It is often the least burdensome of the three routes, but the extra conditions needed for the fourth and fifth year (paragraph 2-bis) take months to prepare and cannot be improvised at a shareholders' meeting.

Why it matters for decision makers

The status is a door: some public measures are reserved for companies listed in the special section and for nobody else, such as the zero-rate financing of Smart&Start Italia. The chosen requirement then becomes an accounting and organizational constraint for years rather than a box ticked once: pick qualified staff and you cannot change the team without watching the proportions, pick registered software and ownership has to sit with the company and not with a founder.
