What it funds
Patent Box is not a tax credit and no money arrives in the bank. It is a tax option: R&D costs on certain intangible assets are deducted with an uplift, so the advantage shows up in the year's IRES and IRAP taxable base. Among the eligible assets, alongside industrial patents, designs and models, sits software protected by copyright. For a company having a program written to its own specification the picture inverts: the software becomes the asset that generates the benefit.
Spend incurred before the asset is protected is not lost: it is recovered from the tax period in which the asset obtains protection, reaching back as far as the eighth preceding one.
Requirements and what is left out
- Whoever buys software somebody else wrote: the uplift rewards creation, not purchase, and a license bought from a third party stays an ordinary cost. What enters is the hours of the people who design and write it, the consultancy, the materials and the protection of the right.
- R&D contracted to related parties. What counts is internal work or work assigned to universities and independent research bodies, and it has to be demonstrable.
- Anyone computing income on a flat-rate or cadastral basis, and anyone in liquidation or other insolvency proceedings.
- Anyone who cannot commit for five tax periods: the option is irrevocable and renews at expiry.
- Anyone not keeping the prescribed documentation and not flagging in the return that they hold it: if the tax office recomputes the uplift, the penalty for an inaccurate return applies.
- Anyone expecting to stack it whole onto the R&D tax credit: both can be used, but circolare 5/E of 2023 places the patent box among the "other subsidies or contributions received on any basis", so on the same costs the credit's base is taken net of the uplift, and any credit already used has to be repaid.
How to apply
No application and no counter: the option is exercised in the tax return for the period it is meant to start from. The regime comes from article 6 of DL 146/2021, as converted by law 215/2021 and rewritten by law 234/2021, and Normattiva now shows that article as repealed: its rules move, unchanged, to article 118, paragraphs 18 to 27, of the new consolidated income tax act (D.Lgs. 117/2026), which applies from 2027. The regime stays, the reference to cite changes.
What it builds
Here the relief follows the software I write to specification: one database instead of the spreadsheets, the automation of steps redone by hand every week, the integrations with the systems already in house. I deliver with hours booked against the right asset and a readable history of the code, because traceability is what holds the uplift up under an audit.
This entry is informational and is not advice: I do not handle grant applications, and before committing to a purchase it is worth reading the official source above or talking to whoever files the application.
